Terms of Use

These Terms of Use (the “Terms”) govern the use of SalesMemo (the “Service”), operated by Mijoo s.r.o., Klimkovičova 3166/25, 040 23 Košice, Company ID (IČO): 54245044 (the “Provider”, “we”, “us”).

By using the Service, you confirm that you have read and agree to these Terms. If you do not agree, please do not use the Service.

1. Definitions

For the purposes of these Terms:

  • User – a natural person or legal entity using the Service.
  • Account – a user profile created through registration.
  • User Content – recordings, text notes, meeting titles, and any other data uploaded or created by the User.
  • AI Outputs – transcripts, summaries, tasks, follow-ups, and other content generated by artificial intelligence.

2. Service Description

SalesMemo is a productivity tool for processing voice notes from meetings. Using artificial intelligence, it generates, in particular:

  • speech-to-text transcription,
  • summaries,
  • action items and structured outputs,
  • follow-up messages for clients.

The Service is primarily intended for real estate agents, financial advisors, sales professionals, and other roles working with meetings.

3. Zero-Knowledge Architecture (No Access to Your Data)

SalesMemo is designed so that we, as the service provider, do not have the technical ability to listen to your recordings.

  • Client-side encryption: Each audio recording is encrypted directly on your device before being stored in our cloud using a unique AES-256 key.
  • Key management: The encryption key is stored only on your phone (e.g., iOS Keychain). We do not own it, store it, or have access to it.
  • Consequence: If you lose your device and you have not backed up your keys, we cannot recover your recordings — to us they remain readable only as encrypted data.

Note: Certain features (such as AI transcription and analysis) may require temporary processing of content for AI purposes. Details are described in our Privacy Policy.

4. Registration and Account

4.1. You must register and create an Account to use the Service. You agree to provide accurate and up-to-date information.

4.2. You are responsible for:

  • safeguarding your login credentials,
  • preventing unauthorized access to your Account,
  • notifying us immediately if you suspect misuse of your Account.

4.3. We may suspend or terminate an Account if the User breaches these Terms or applicable laws.

5. Subscription, Trial, and Payments

5.1. The Service is available in multiple plans (e.g., Solo, Pro, Team). Current pricing and plan features are displayed on the website.

5.2. Trial period: If a trial is offered, its duration and conditions are shown at checkout or within the selected plan. After the trial ends, the subscription may renew automatically unless canceled in advance.

5.3. Billing:

  • subscriptions are billed monthly or annually, depending on the selected plan,
  • annual subscriptions may include discounted pricing compared to monthly billing.

5.4. Cancellation:

  • you may cancel at any time in your Account settings,
  • after cancellation, access continues until the end of the paid billing period (unless stated otherwise).

5.5. Refunds:

  • unless required by law, payments for an already started billing period are generally non-refundable,
  • if you believe you were charged incorrectly, contact us at support@salesmemo.sk.

5.6. We may update pricing, plan features, or subscription conditions. We will notify Users appropriately.

6. User Responsibilities and Recording Meetings

6.1. The User is fully responsible for User Content uploaded, stored, or generated within the Service.

6.2. Recording meetings and participant consent

The User represents and warrants that they have the right to record meetings and process their content, including that:

  • participants were informed where required by law,
  • consent was obtained if required,
  • internal policies and applicable regulations (compliance) are followed.

6.3. The User must not upload:

  • unlawful content,
  • sensitive personal data (e.g., health data, ID numbers) unless strictly necessary and lawful,
  • content that infringes third-party rights.

7. AI Outputs and Verification

7.1. AI Outputs are provided as a support tool and may contain errors or inaccuracies.

7.2. The User must review and verify AI Outputs before using them (e.g., before sending to clients or using in business communication).

7.3. We are not liable for damages caused by relying on AI Outputs without verification.

8. Privacy and Data Protection

Personal data processing is governed by our Privacy Policy, available on the website.

By using the Service, you acknowledge that User Content may include personal data and that the User is responsible for complying with GDPR and other applicable laws.

9. Intellectual Property

9.1. All intellectual property rights in and to the Service (software, design, SalesMemo brand, website content) belong to the Provider or its licensors.

9.2. User Content remains the property of the User. The User grants the Provider a non-exclusive license to process User Content solely to provide and improve the Service.

9.3. The User must not:

  • copy, modify, or distribute the Service without our consent,
  • reverse engineer, bypass security, or otherwise interfere with the system.

10. Prohibited Use

You must not:

  • violate laws or third-party rights,
  • upload recordings without proper authorization or consent where required,
  • attempt unauthorized access to Provider systems,
  • use the Service in a way that could harm performance or security,
  • use the Service for spam, fraud, phishing, or other harmful activities.

11. Service Availability and Maintenance

11.1. We aim to ensure high availability but do not guarantee uninterrupted service without outages.

11.2. We may perform maintenance, updates, or changes that can temporarily affect availability.

12. Limitation of Liability

12.1. The Service is provided “as is”. We are not liable for:

  • outages caused by third parties (internet connection, infrastructure providers),
  • damages caused by improper use of the Service,
  • damages caused by AI Outputs that were not verified by the User.

12.2. To the maximum extent permitted by law, our total liability is limited to the amount paid by the User for the Service in the last 3 months.

13. Termination and Account Deletion

13.1. You may cancel and delete your Account at any time.

13.2. We may suspend or terminate the Account in case of breach of the Terms, misuse, or illegal activity.

13.3. After termination, User Content may be deleted in accordance with our Privacy Policy and retention rules.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you via email or within the Service. Continued use of the Service after changes become effective means you accept the updated Terms.

15. Final Provisions

15.1. These Terms are governed by the laws of the Slovak Republic.

15.2. Any disputes related to the Service will be resolved by the competent courts of the Slovak Republic unless applicable laws provide otherwise.
